Please read these terms carefully before engaging our services or using our website.
01 Acceptance of Terms
By accessing our website at www.faslax.in, requesting a quote, or engaging the services of FasLax ("we", "our", "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or engage our services.
These Terms constitute a legally binding agreement between you (the "Client") and FasLax. References to "you" or "Client" include any individual, company, or organisation that engages us.
02 Services
FasLax provides digital services including, but not limited to:
- Website design and development
- Graphic design and brand identity
- Digital marketing and advertising management
- Search engine optimisation (SEO) and social media marketing (SMM)
- Domain registration and web hosting setup
The specific scope of services for each project is defined in the project proposal, quote document, or service agreement provided to the Client prior to commencement.
03 Quotes & Pricing
- All quotes are provided in Indian Rupees (INR) for domestic clients, or United States Dollars (USD)/alternative agreed currencies for international clients.
- Quotes are valid for 14 days from the date of issue. Scope changes after acceptance may result in revised pricing.
- Quotes are based on the information provided at the time of enquiry. Changes to project scope after acceptance may result in revised pricing.
- Third-party costs such as domain registration, hosting, premium plugins, stock images, and advertising spend are not included in our service fees unless explicitly stated.
- FasLax reserves the right to revise its general pricing at any time. Existing agreed projects will not be affected mid-project.
04 Payment Terms
Our standard payment structure is as follows:
- 50% advance payment is required before any project work commences.
- Remaining 50% is due upon project completion, before final files or website access are handed over.
- For ongoing monthly services (SEO, SMM, maintenance), payment is due at the start of each billing cycle.
- Payments can be made via bank transfer, UPI, or other agreed methods.
05 Revisions & Change Requests
- Each project includes a defined number of revision rounds as stated in the project proposal.
- Revisions within scope are included at no extra charge.
- Requests that fall outside the agreed scope — including additional pages, new design concepts, or additional features — will be quoted separately as change requests.
- Revision requests must be submitted in writing (email or WhatsApp) within 7 days of deliverable submission. After this window, the deliverable will be considered approved.
06 Project Timelines
- Project timelines are outlined in the proposal and commence upon receipt of the advance payment and all required content/materials from the Client.
- Delays caused by the Client (e.g. late content submission, delayed feedback, or prolonged revision cycles) will extend the project timeline accordingly.
- FasLax will communicate any delays on our end proactively and work to minimise disruption.
- We are not liable for delays caused by third-party services including hosting providers, domain registrars, or payment gateways.
07 Intellectual Property
Client-Owned Content: All content, images, logos, and materials provided by the Client remain the property of the Client.
Deliverables: Upon receipt of full payment, ownership of the final deliverables (designs, website files, etc.) transfers to the Client.
FasLax's Rights: We retain the right to display completed work in our portfolio and marketing materials unless the Client requests otherwise in writing.
Pre-existing Tools & Frameworks: Any tools, frameworks, libraries, or templates used in the development of your project (such as WordPress themes, Bootstrap, etc.) remain subject to their respective open-source or commercial licences.
Third-Party Assets: Stock images, fonts, or plugins licensed for the project remain subject to their original licence terms. We will advise the Client of any ongoing licence obligations.
08 Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. FasLax will not disclose the Client's business information, strategies, or data to third parties without prior written consent, except as required by law.
09 Limitation of Liability
To the fullest extent permitted by applicable law:
- FasLax's total liability for any claim arising from our services shall not exceed the total fees paid by the Client for the specific project in question.
- We are not liable for indirect, incidental, consequential, or special damages — including loss of business, revenue, data, or profit — arising from the use of our services or website.
- We are not responsible for losses resulting from third-party services, platform changes (e.g. Google algorithm updates), or factors outside our reasonable control.
10 Termination
By the Client: You may terminate a project at any time by providing written notice. The advance payment is non-refundable. Any work completed beyond the advance-covered portion will be billed at a pro-rata rate.
By FasLax: We reserve the right to terminate a project if the Client engages in abusive behaviour toward our team, fails to make payment, or breaches these Terms. In such cases, work completed will be billed and the balance is payable immediately.
11 Warranties & Disclaimers
- We warrant that our services will be delivered with reasonable skill, care, and professionalism.
- We do not guarantee specific outcomes from digital marketing or SEO campaigns, as results depend on many external factors beyond our control.
- Websites are delivered in good working condition at the time of handover. We are not responsible for issues arising from Client modifications, hosting environment changes, or third-party plugin updates after handover.
- Our website and services are provided "as is" without warranties of any kind beyond those expressly stated.
12 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Kerala, India.
13 Changes to These Terms
FasLax reserves the right to update or revise these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
